Terms of Service

1. Engagement Overview & Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you or the entity you represent (“Client”, “you”) and Glow Axispoint Consulting Ltd. (“Glow Axispoint”, “Company”, “we”, “us”), registered in Taiwan with principal offices at Meixuan Li, No.21, Sec 3, Guangming St, Sanchong District, New Taipei City, 241.

By accessing our website at https://glow-axispoint.click or commissioning programming consulting, manual source code reviews, architecture threat modeling, or application security assessments, you agree to comply with and be bound by these Terms.

2. Consulting Services & Statements of Work

All application security reviews, code audits, and technical advisory services are delivered according to individual Statements of Work (“SOW”) or written proposals mutually executed by the parties. Each SOW specifies:

  • The defined repository scope, lines of code (KLOC), and target application modules.
  • Engagement milestones, estimated turnaround windows, and deliverables.
  • Fee structures, invoicing schedules, and payment terms.
  • Access credentials and secure repository transmission protocols.

3. Confidentiality & Proprietary Source Code Handling

We acknowledge that client source code, architectural schematics, business logic definitions, and vulnerability reports represent sensitive proprietary property. Glow Axispoint agrees to:

  • Maintain all client materials in strict confidence under executed Non-Disclosure Agreements.
  • Perform all manual code audits exclusively on encrypted, access-controlled workstations.
  • Permit only authorized principal consultants assigned to the specific project to inspect client source code.
  • Securely delete all local copies of client source code within thirty (30) days following final report delivery and completion of the verification re-audit, unless otherwise instructed in writing.

4. Intellectual Property Rights

Client Property: Client retains exclusive ownership of all pre-existing source code, architectures, trade secrets, and intellectual property provided to Glow Axispoint.

Deliverables: Upon full payment of all applicable fees, Client owns all customized audit reports, vulnerability assessments, and remediation patch recommendations authored specifically for Client under the relevant SOW.

Pre-Existing Methodologies: Glow Axispoint retains all rights, title, and interest in its generic auditing tools, AST analysis scripts, review templates, and general engineering domain expertise developed independently of the client engagement.

5. Warranties & Professional Standard of Care

Glow Axispoint conducts manual code reviews and security assessments using industry-recognized defensive engineering practices and experienced senior practitioners.

Software security is an evolving field characterized by changing threat environments and runtime dependencies. An application security review evaluates source code against known vulnerability classes and business logic constraints at the time of review. Glow Axispoint provides vulnerability triage and remediation recommendations with professional rigor, but cannot guarantee that client software will be completely immune from future zero-day exploits or newly discovered attack vectors.

6. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to these Terms or the consulting services.

The total aggregate liability of Glow Axispoint for all claims arising under or related to any specific Statement of Work shall not exceed the total fees actually paid by Client to Glow Axispoint under that specific Statement of Work during the six (6) month period preceding the event giving rise to liability.

7. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to conflict of law principles.

The parties agree that any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the competent courts located in New Taipei City, Taiwan.
